Responsibilities:
Responsibilities
- Provide legal, ethics, and compliance advice across AIQ, ensuring compliance with applicable laws, regulations, internal policies, the AIQ Ethics & Compliance Program, and the ADNOC AIQ Group Code of Conduct.
- Draft, review, negotiate, and amend legal opinions, agreements, policies, procedures, and other legal and corporate documentation while safeguarding AIQ's legal, commercial, and reputational interests.
- Lead AIQ's export controls and trade compliance activities relating to AI compute, AI models, software, advanced computing infrastructure, and dual-use technologies, including compliance with applicable UAE, U.S. (including EAR), and multilateral trade control regimes through restricted-party screening, end-use/end-user diligence, and supply-chain compliance reviews involving NVIDIA GPUs, cloud infrastructure, and advanced computing technologies.
- Lead third-party integrity and compliance due diligence activities, including sanctions screening, anti-money laundering reviews, beneficial ownership verification, anti-bribery and corruption assessments, conflicts of interest reviews, and reputational risk assessments relating to customers, suppliers, partners, agents, and other counterparties.
- Advise on and support AIQ's Responsible AI governance framework, including alignment with the UAE AI framework and applicable international standards in alignment with shareholder and UAE regulatory requirements, as applicable to AIQ’s operating model, and provide guidance on model governance, model evaluation and validation controls, data protection, transparency, accountability, human oversight, and AI lifecycle risk management.
- Develop, implement, maintain, and continuously enhance the AIQ Ethics & Compliance Program, including policies, procedures, training, communications, awareness initiatives, compliance monitoring activities, and standard forms designed to prevent and detect unlawful or unethical conduct.
- Promote and embed a culture of integrity, ethical business conduct, and compliance across AIQ, working closely with senior leadership and business functions to reinforce ethical decision-making and accountability.
- Identify, assess, and advise on compliance risks, including anti-bribery and corruption, anti-money laundering, sanctions, conflicts of interest, third-party integrity and reputational risk, market abuse, competition and antitrust law, data protection, and other regulatory requirements.
- Provide oversight, expertise, and support to compliance activities across AIQ and its group companies, ensuring consistent implementation of the AIQ Ethics & Compliance Program.
- Oversee and/or conduct ethical investigations into allegations of misconduct or breach of AIQ Compliance policies, including matters raised through the whistleblowing platform Takallam, which is independently managed by a third party, and support the implementation of appropriate remediation, corrective actions, and disciplinary measures in compliance with the obligations of the Abu Dhabi Accountability Authority (‘ADAA’) and refer human capital concerns for the oversight/action of human capital, as required.
- Provide annual update to the AIQ’s Legal and Obligation registers in alignment with the AIQ leadership and relevant stakeholders.
Qualifications:
Educational Requirements
- Bachelor's Degree in Law, or relevant equivalent.
- Specialist certification and/or special trainings are an advantage (e.g. trade controls, data protection or responsible-AI credentials).
Minimum Experience & Knowledge & Skills
- Minimum 7 years' transactional work experience in a reputable international law firm and/or in-house legal department, preferably within the technology industry.
- Excellent English language (written and spoken). Fluent Arabic in addition is an advantage.
- Knowledge of applicable legislations and regulations. Experience of listed company requirements is an advantage.
- Knowledge of business and international best practices.
- Working knowledge of responsible-AI frameworks and export-control/sanctions regimes applicable to advanced computing is an advantage.
